OWNERSHIP HANDOFF

Close a Wisconsin Withholding Tax Account After a Sale

A payroll handoff needs a clear final period. Coordinate the seller's reporting with the buyer's start rather than assuming payroll follows the sale automatically.

Milwaukee Business Brokers Hub provides seller preparation resources. This guide covers how to close a Wisconsin Withholding Tax Account After a Sale and what to discuss with your advisors.

Identify the Employer for Each Payroll Period

Ask your payroll provider and tax advisor whether the selling entity will stop employing staff. The answer depends on the transaction structure and any activity the entity keeps.

Record the final seller payroll date and who handles wages, adjustments and employee information returns. Include any compensation paid after the operating handoff.

Keep the buyer's payroll arrangements separate from the seller's closeout. A buyer continuing the business does not by itself finish the former employer's reporting.

A question to bring to your advisor

Who will remain responsible for employee reporting and tax correspondence after the seller stops running payroll?

Use a Written Closeout List

Wisconsin DOR lists final withholding deposits, annual reconciliation and supporting employee information returns among the closure tasks. Confirm the applicable filing requirements with your preparer.

Account closure is another task on that list. DOR offers a closure request through My Tax Account as well as contact options for withholding questions.

Retain filing confirmations and identify who will answer later tax notices. A completed sale can leave administrative work for the entity that paid the wages.
